By accessing our website, enrolling in our training programs, purchasing merchandise, or acquiring any digital product offered by Thoughts Refilling, you (“Client”, “User”, “You”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please refrain from using our services.

We reserve the right to modify these Terms at any time. Continued use of our services after any change constitutes your acceptance of the revised Terms.

2. Services Offered

Thoughts Refilling operates across four primary verticals:

2.1 Digital Marketing Services We provide services including social media management, SEO, paid advertising (PPC/SEM), content creation, branding strategy, email marketing, and website design and development. Specific deliverables, timelines, and pricing will be outlined in a separate Service Agreement or Statement of Work (SOW).

2.2 Training & Education Programs We offer online and offline training programs in digital marketing, social media, content creation, entrepreneurship, and related fields. Course content, schedule, duration, and fees are specified at the time of enrollment. We reserve the right to modify course content, instructors, or delivery format to ensure quality and relevance.

2.3 Merchandise Sales Thoughts Refilling offers branded merchandise and physical products through our online store. All physical products are subject to availability, shipping timelines, and our Return & Refund Policy outlined in Section 9.

2.4 Digital Products We offer e-books, templates, toolkits, online courses, presets, guides, and other downloadable resources. All digital products are delivered electronically and are subject to the licensing terms described in Section 7.

3. Eligibility & User Responsibilities

By using our services, you represent and warrant that:

• You are at least 18 years of age, or have the consent of a legal guardian.
• You have the legal capacity to enter into a binding agreement.
• All information you provide to us is accurate, current, and complete.
• You will use our services only for lawful purposes and in accordance with these Terms.
• You will not reproduce, duplicate, sell, or exploit any portion of our services or products without our express written permission.
• You will not engage in any activity that disrupts or interferes with the delivery of our services.

4. Payment Terms

4.1 Fees & Pricing All prices are listed in Indian Rupees (INR) unless otherwise specified. Prices are subject to change, but any revision will not affect orders or agreements already confirmed and paid.

4.2 Payment Methods We accept payment via UPI, bank transfer (NEFT/RTGS/IMPS), credit/debit cards, and other payment gateways made available on our platform.

4.3 Invoice & GST Thoughts Refilling complies with the Goods and Services Tax (GST) framework as applicable under Indian law. GST will be levied on all applicable transactions as per prevailing government regulations. Invoices will be issued upon receipt of payment.

4.4 Late Payments For ongoing retainer or project-based services, payment is due as per milestones agreed in the Service Agreement. In the event of non-payment or delayed payment, Thoughts Refilling reserves the right to suspend services, withhold deliverables, or terminate the agreement without liability.

5. Digital Marketing Services – Specific Terms

• Clients must provide timely access to required assets, credentials, brand guidelines, and approvals. Delays caused by the client may affect project timelines.
• Thoughts Refilling does not guarantee specific outcomes such as search engine rankings, a defined number of leads, or a particular return on advertising spend (ROAS). Results depend on market conditions, platform algorithms, and client-side responsiveness.
• The client grants Thoughts Refilling a limited license to use their brand assets and accounts solely for the purpose of delivering agreed-upon services.
• Content created by Thoughts Refilling on behalf of the client is subject to final client approval. Approved content becomes the client’s responsibility upon publication.
• Confidential information shared by either party will be kept strictly confidential and will not be disclosed to third parties without written consent.
• Either party may terminate a service agreement by providing 30 days’ written notice. Work completed up to the termination date will be invoiced and is payable.

6. Training Programs – Specific Terms

6.1 Enrollment Enrollment is confirmed only upon receipt of full or agreed partial payment. Seats are allocated on a first-come, first-served basis. We reserve the right to reschedule, postpone, or cancel training sessions with prior notice.

6.2 Cancellation & Refunds Cancellation requests must be submitted in writing to info@thoughtsrefilling.com.

• Cancellation 7 or more days before program start: 75% refund.
• Cancellation 3 to 6 days before program start: 50% refund.
• Cancellation less than 3 days before start or after commencement: No refund.
• If a program is cancelled by Thoughts Refilling, a full refund will be issued or the participant may reschedule to the next available batch.

6.3 Code of Conduct All participants are expected to maintain respectful and professional conduct. Any participant engaging in disruptive, abusive, or unethical behaviour may be removed without a refund.

6.4 Certificates Certificates of completion will be issued to participants who meet all required attendance and assessment criteria as communicated at enrollment. Certificates issued by Thoughts Refilling are proprietary and do not constitute government-recognized qualifications unless explicitly stated.

7. Digital Products – License & Usage

Upon purchase of any digital product, you are granted a limited, non-exclusive, non-transferable, revocable license for personal or internal business use. You agree that:

• You will not resell, redistribute, share, sublicense, or commercially exploit any digital product purchased from us.
• You will not modify, reverse-engineer, or create derivative works without prior written consent.
• All intellectual property rights in our digital products remain with Thoughts Refilling.
• It is your responsibility to download and save the product upon delivery.
• Due to the nature of digital goods, all digital product sales are final and non-refundable unless the product is defective or materially different from its description.

8. Merchandise Sales – Terms

8.1 Order Placement All orders are subject to availability. An order confirmation email does not constitute final acceptance; we reserve the right to cancel orders due to stock unavailability, pricing errors, or suspected fraudulent activity.

8.2 Shipping & Delivery We ship merchandise across India. Estimated delivery timelines will be communicated at purchase and may vary by location. We are not liable for delays caused by third-party courier services or circumstances beyond our reasonable control.

8.3 Returns & Exchanges We accept return requests within 7 days of delivery, provided the product is unused, undamaged, and in its original packaging. To initiate a return, email info@thoughtsrefilling.com with your order number and reason.

• Items damaged during shipping must be reported within 48 hours of delivery with photographic evidence.
• Customised or personalised merchandise cannot be returned unless defective.
• Return shipping costs are the buyer’s responsibility unless the return is due to our error.
• Approved refunds will be processed within 7–10 business days to the original payment method.

9. Intellectual Property

All content on the Thoughts Refilling website, training materials, social media channels, digital products, and merchandise — including text, images, graphics, logos, videos, course material, and design elements — is the exclusive intellectual property of Thoughts Refilling or its licensors, protected under applicable Indian and international copyright and trademark laws.

Unauthorized reproduction, copying, distribution, or use of any content without explicit written consent from Thoughts Refilling is strictly prohibited and may result in legal action.

Thoughts Refilling does not warrant that our services will meet your specific business objectives, that digital marketing campaigns will produce guaranteed results, that training programs will lead to employment or third-party certification, or that our website will be error-free or uninterrupted at all times.

12. Limitation of Liability

To the fullest extent permitted by law, Thoughts Refilling and its team members shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services, including loss of profit, data, or business opportunities.

Our total aggregate liability for any claim shall not exceed the total amount paid by you to Thoughts Refilling in the three (3) months preceding the event giving rise to the claim.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. In the event of a dispute, both parties will first attempt resolution through mutual negotiation. If unresolved within 30 days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Korba, Chhattisgarh, India. The courts of Korba, Chhattisgarh shall have exclusive jurisdiction over any matters proceeding to litigation.
